The Malta Financial Services Authority (“MFSA” or the “Authority”) has been looking into certain matters related to the Company. The Authority has considered the goodwill demonstrated by the Company and agreed to settle all pending matters. The Authority has investigated a potential breach under the EU Prospectus Regulation. The Authority concluded a settlement agreement with the Company pursuant to which the Authority imposed an administrative penalty on the Company.

FINDINGS:

The MFSA determined that the Company failed to issue a prospectus in terms of Article 3 of the EU Prospectus Regulation.

MEASURES

On the 16 December 2024 the Authority concluded a settlement agreement on the basis that the breach is admitted by the Company and an administrative penalty of seventy-nine thousand and eight hundred Euro (€79,800) is imposed. In reaching the settlement, the Authority considered the goodwill of the Company, and its representations made.
